These terms are intended to make the allocation of responsibility clear: you control the workloads, the agents, the exposed services, and the costs they generate.
By using Virtustructure, you agree that the platform is infrastructure for your workloads, not a substitute for your own legal, security, compliance, or operational controls.
Virtustructure provides a managed platform for hosting containers, AI agents, workflows, websites, APIs, and related infrastructure. The service may allow those environments to be accessible remotely depending on how you configure them, what services you expose, and what networking or authentication settings you apply.
You may use the platform to host and operate your own workloads, but you remain fully responsible for what you deploy, how it is configured, and who can access it.
You are responsible for maintaining the confidentiality of your account credentials, API keys, secrets, tokens, model credentials, deployment settings, and any other sensitive material used in your environment.
If your credentials, model keys, infrastructure secrets, or third-party tokens are leaked, misused, or compromised, you are responsible for the resulting activity, access, charges, losses, and remediation costs associated with your environment, except to the extent caused directly by our breach of these terms or applicable law.
Virtustructure offers subscription plans and usage-based billing. By subscribing to a paid plan, you authorize us to charge the payment method on file for recurring fees at the beginning of each billing cycle. All subscription plans renew automatically unless you cancel before the renewal date.
Payment processing is handled by Stripe, Inc. By using Virtustructure, you agree to Stripe's Terms of Service and Privacy Policy as they apply to payment processing. Your payment information is transmitted directly to Stripe and is not stored on our servers. Stripe may collect and process personal data in accordance with their own privacy policy.
You are responsible for keeping your payment method current. If a charge fails, we may retry the payment, suspend access to your environment, or downgrade your account. We will notify you of any failed payment before taking action on your account.
Subscription fees are billed in advance for each billing period. Usage-based charges, including compute, bandwidth, storage, model inference, and API consumption, are metered and billed in arrears. You can review your current usage and billing history at any time within the platform.
We may change pricing with at least 30 days' notice before the start of your next billing cycle. Continued use of the platform after a price change takes effect constitutes acceptance of the new pricing. If you do not agree to the updated pricing, you may cancel your subscription before the change takes effect.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to your plan until that period expires. No prorated refunds are issued for partial billing periods.
Refunds are handled in accordance with our Refund Policy, which is incorporated into these terms by reference. In general, subscription fees that have already been charged are non-refundable, except where required by applicable law or as described in the Refund Policy.
Upon cancellation, your hosted environments, containers, stored data, and configurations may be retained for a limited period as described in our Data Retention Policy. After the retention period, your data may be permanently deleted.
We may offer free trials or promotional pricing from time to time. Unless you cancel before the trial or promotional period ends, your account will automatically convert to a paid subscription at the standard rate, and your payment method will be charged accordingly.
Trial eligibility is limited to one trial per person, organization, or payment method. We reserve the right to revoke trial access or promotional pricing if we determine that the offer is being abused.
You are solely responsible for the instructions you give to agents, the automations you enable, the content they generate, the actions they take, and the downstream effects of those actions. That includes code changes, communications, API calls, external integrations, data access, and any websites, services, or tools your agents operate.
Virtustructure is not responsible for the legality, accuracy, safety, security, or consequences of user behavior, agent behavior, or hosted workloads. You must ensure that your use of the platform complies with applicable law, contract obligations, intellectual property rights, privacy requirements, and any obligations you owe to customers, partners, or regulators.
Your use of the platform is subject to our Acceptable Use Policy, which is incorporated into these terms by reference. Violations of the Acceptable Use Policy may result in suspension or termination of your account without refund.
You are responsible for securing your hosted containers, networks, authentication layers, deployed code, stored data, exposed endpoints, and connected third-party services. That includes managing access control, rotation of keys and credentials, encryption choices, patching, monitoring, and incident response within the environments you control.
We may provide infrastructure features, but we do not assume responsibility for your security architecture, your application security, or incidents arising from your own configurations, workloads, exposed services, or operational practices.
You are responsible for all usage and costs associated with your account and hosted environments, including platform charges, model or LLM usage, third-party API costs, cloud or infrastructure fees, bandwidth, storage, logging, and incident-related usage caused by your deployments, exposed services, or compromised credentials.
If your agents consume tokens, call external APIs, trigger infrastructure spend, or continue operating due to your settings or keys, those costs remain your responsibility.
If you believe a charge is incorrect, you must contact us within 30 days of the charge. We will review the dispute and work with you to resolve it. Filing a chargeback or payment dispute with your bank or card issuer before contacting us may result in suspension of your account pending resolution.
We reserve the right to recover costs associated with fraudulent chargebacks, including administrative fees, from your account.
By creating an account, you consent to receive electronic communications from us, including billing receipts, invoices, subscription confirmations, renewal notices, payment failure alerts, and service announcements. These electronic communications satisfy any legal requirement that such communications be in writing.
The platform is provided on an as-is and as-available basis to the maximum extent permitted by law. We do not guarantee uninterrupted availability, perfect security, error-free operation, or that hosted agents will behave as intended.
To the maximum extent permitted by law, Virtustructure will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or security incidents arising from your use of the service, your hosted workloads, user actions, agent actions, exposed services, credential leaks, or third-party providers.
You agree to defend, indemnify, and hold harmless Virtustructure and its affiliates, officers, employees, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to your use of the platform, your hosted workloads, your agents, your content, your violations of law, or your breach of these terms.
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these terms that cannot be resolved informally shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding.
We may update these terms from time to time. If we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect. Your continued use of the platform after the updated terms take effect constitutes acceptance of the revised terms.
